The new owners did not commission the work, and in many cases may not have known that a lien claim was filed on the property. But the lien claimant also usually has no knowledge of the transfer of the property, or to whom it is being transferred.&nbsp;Additionally, the construction lien does not ask for potential owners&#8230;it asks for the name of the current owner. <\/span><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">Then there&#8217;s the case of the transfer of properties from one entity to another just to avoid a mechanics lien being filed, or to make it invalid because the new owner is not known to the lien claimant. This happens more often than it should.<\/span><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">So what happens when a <\/span><a href=\"https:\/\/www.lienitnow.com\/texas-faq\" target=\"_blank\"><span style=\"font-family: inherit;\">Texas construction lien is filed <\/span><\/a><span style=\"font-family: inherit;\">right before a property transfer? And how does this affect the new owner, who had no actual knowledge of the filing? Does the construction lien stay on the property, encumbering the new owner&#8217;s interest, and making the new owner liable for payment of the lien, and subject to foreclosure of their newly purchased property? Or does the failure to give the new owner actual notice result in the lien being expunged or discharged, or simply not effective against the new owner&#8217;s interest.<\/span><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">The longstanding law is that the new owner is saddled with the lien, and the payment of that lien, may have rights to recover against the prior property owner. Under Texas&#8217;s&nbsp;codified bona-fide purchaser doctrine, an instrument reflecting a property conveyance or interest will not cloud the title of a subsequent purchaser, so long as the purchaser pays valuable consideration and lacks actual and constructive notice of the instrument.&nbsp;<\/span><a data-contentcomponentid=\"10630\" data-docfullpath=\"\/shared\/document\/statutes-legislation\/urn:contentItem:5DDJ-C7H1-JW8X-V2W0-00000-00\" data-func=\"LN.Advance.ContentView.getDocument\" data-pctpgu=\"data-pctpgu\" data-pinpage=\"\" data-priceplan=\"subscription\" href=\"http:\/\/www.statutes.legis.state.tx.us\/Docs\/PR\/htm\/PR.13.htm\" target=\"_blank\"><span style=\"font-family: inherit;\">\u00a7 13.001<\/span><\/a><span style=\"font-family: inherit;\">. <\/span><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">So who has actual or constructive notice of construction liens, and when does it occur? According to Texas law, all persons have constructive notice of instruments that are &#8220;properly recorded in the proper county.&#8221;&nbsp;<\/span><a data-contentcomponentid=\"10630\" data-docfullpath=\"\/shared\/document\/statutes-legislation\/urn:contentItem:5DDJ-C7H1-JW8X-V2W1-00000-00\" data-func=\"LN.Advance.ContentView.getDocument\" data-pctpgu=\"data-pctpgu\" data-pinpage=\"\" data-priceplan=\"subscription\" href=\"http:\/\/www.statutes.legis.state.tx.us\/Docs\/PR\/htm\/PR.13.htm\" target=\"_blank\"><span style=\"font-family: inherit;\">\u00a7 13.002<\/span><\/a><span style=\"font-family: inherit;\">. These statutes place purchasers with constructive notice of a property interest on even footing with those who have actual notice; that is, the recorded instrument will cloud their respective titles equally.<\/span><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><a href=\"https:\/\/www.blogger.com\/null\"><\/a><span style=\"font-family: inherit;\">This rule applies not only to construction liens, but also to the filing of a lis pendens: a document that is filed with the county clerk when a lawsuit is filed, and is intended as a follow up to a construction lien, providing notice that a lawsuit has been filed to foreclose on the lien). In turn, a notice of lis pendens qualifies as an instrument reflecting a property interest, and recording it in the proper county &#8220;constructively notif[ies] anyone taking an interest in real property that a claim is being litigated against the property.&#8221; <\/span><span><a href=\"https:\/\/www.courtlistener.com\/opinion\/1757753\/long-beach-mortg-co-v-evans\/\" target=\"_blank\"><span style=\"font-family: inherit;\">Long Beach Mortg. Co. v. Evans<\/span><\/a><\/span><a href=\"https:\/\/www.courtlistener.com\/opinion\/1757753\/long-beach-mortg-co-v-evans\/\" target=\"_blank\"><span style=\"font-family: inherit;\">, 284 <\/span><\/a><span name=\"SH_4198375846\"><a href=\"https:\/\/www.courtlistener.com\/opinion\/1757753\/long-beach-mortg-co-v-evans\/\" target=\"_blank\"><span style=\"font-family: inherit;\">S<\/span><\/a><\/span><a href=\"https:\/\/www.courtlistener.com\/opinion\/1757753\/long-beach-mortg-co-v-evans\/\" target=\"_blank\"><span style=\"font-family: inherit;\">.W.3d 406, 414 (Tex. App.\u2014Dallas 2009, pet. denied). <\/span><\/a><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">Thus, a properly recorded lis-pendens notice places prospective buyers who don&#8217;t actually know about the pending action in the same position as those who do: both will acquire their interest in the property subject to the claims being litigated. <\/span><a data-contentcomponentid=\"10618\" data-docfullpath=\"\/shared\/document\/cases\/urn:contentItem:4RM6-KY90-TX4N-G1JX-00000-00\" data-func=\"LN.Advance.ContentView.getDocument\" data-pctpgu=\"data-pctpgu\" data-pinpage=\"PAGE_303_4953\" data-priceplan=\"subscription\" href=\"https:\/\/www.courtlistener.com\/opinion\/1402476\/world-savings-bank-fsb-v-gantt\/\" target=\"_blank\"><span><span style=\"font-family: inherit;\">World Sav. Bank, F.<\/span><span name=\"SH_4198375846\"><span style=\"font-family: inherit;\">S<\/span><\/span><span style=\"font-family: inherit;\">.B. v. Gantt<\/span><\/span><span style=\"font-family: inherit;\">, 246 <\/span><span name=\"SH_4198375846\"><span style=\"font-family: inherit;\">S<\/span><\/span><span style=\"font-family: inherit;\">.W.3d 299, 303 (Tex. App.\u2014Houston [14th Dist.] 2008, no pet.); <\/span><\/a><span><span style=\"font-family: inherit;\">see also<\/span><\/span><span style=\"font-family: inherit;\"> <\/span><a data-contentcomponentid=\"10630\" data-docfullpath=\"\/shared\/document\/statutes-legislation\/urn:contentItem:5DDJ-C7H1-JW8X-V2W3-00000-00\" data-func=\"LN.Advance.ContentView.getDocument\" data-pctpgu=\"data-pctpgu\" data-pinpage=\"_b\" data-priceplan=\"subscription\" href=\"http:\/\/www.statutes.legis.state.tx.us\/Docs\/PR\/htm\/PR.13.htm\" target=\"_blank\"><span><span style=\"font-family: inherit;\">Tex. Prop. Code<\/span><\/span><span style=\"font-family: inherit;\"> \u00a7 13.004(b)<\/span><\/a><span style=\"font-family: inherit;\"> (&#8220;A transfer or encumbrance of real property involved in a proceeding . . . to a third party who has paid a valuable consideration<\/span><a data-func=\"LN.Advance.ContentView.changeReporter\" data-id=\"7430\" href=\"https:\/\/advance.lexis.com\/document?crid=14e8cae6-5ac2-4fd6-8482-f9ad1152edab&amp;pddocfullpath=%2Fshared%2Fdocument%2Fcases%2Furn%3AcontentItem%3A5NT6-G061-F04K-D0G3-00000-00&amp;pdcontentcomponentid=10617&amp;pdalertresultid=561221965&amp;pdalertprofileid=29ccb26c-e9b3-4507-a029-54ffc51932c9&amp;pdmfid=1000516&amp;pdisurlapi=true#\" name=\"PAGE_7430\"><span style=\"font-family: inherit;\">&nbsp;<\/span><\/a><span style=\"font-family: inherit;\">and who does not have actual or constructive notice of the proceeding is effective . . . unless a notice of the pendency of the proceeding has been recorded . . . in each county in which the property is located.&#8221;). Again, actual notice and constructive notice have the same legal consequences. By providing a mechanism for constructive notice of an action involving real property, the Property Code protects the claimant&#8217;<\/span><span name=\"SH_4198375846\"><span style=\"font-family: inherit;\">s<\/span><\/span><span style=\"font-family: inherit;\"> alleged rights in the disputed property. <\/span><a data-contentcomponentid=\"10618\" data-docfullpath=\"\/shared\/document\/cases\/urn:contentItem:4X2V-HX60-TXFW-X20N-00000-00\" data-func=\"LN.Advance.ContentView.getDocument\" data-pctpgu=\"data-pctpgu\" data-pinpage=\"PAGE_418_4953\" data-priceplan=\"subscription\" href=\"http:\/\/www.leagle.com\/decision\/In%20TXCO%2020090821320\/COLLINS%20v.%20TEX%20MALL,%20L.P.\" target=\"_blank\"><span><span style=\"font-family: inherit;\">Collins v. Tex. Mall, L.P.<\/span><\/span><span style=\"font-family: inherit;\">, 297 <\/span><span name=\"SH_4198375846\"><span style=\"font-family: inherit;\">S<\/span><\/span><span style=\"font-family: inherit;\">.W.3d 409, 418 (Tex. App.\u2014Fort Worth 2009, no pet.). <\/span><\/a><br \/><span style=\"background-color: white;\"><\/span><span style=\"color: black;\"><\/span><span style=\"font-family: inherit;\"><\/span><br \/><span style=\"font-family: inherit;\">But litigations take a long time, and when a lis pendens or a construction lien are encumbering the property, the property itself is all tied up.&nbsp;&nbsp;As such, the&nbsp;Property Code also provides a procedure by which another party to the action may seek to have the notice of lis pendens &#8220;expunged,&#8221; that is, &#8220;erase[d] or destroy[ed].&#8221; <\/span><a data-filters=\"custom: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\" data-func=\"LN.Advance.ContentView.runTableCaseSearch\" data-pctpgu=\"data-pctpgu\" data-searchpath=\"\/shared\/contentstore\/statutes-legislation\" data-searchtext=\"Tex. Code<\/span><\/span><span style=\"font-family: inherit;\"> \u00a7 12.0071; <\/span><\/a><span><span style=\"font-family: inherit;\">Expunge<\/span><\/span><span style=\"font-family: inherit;\">, <\/span><span><span style=\"font-family: inherit;\">Black&#8217;<\/span><span name=\"SH_4198375846\"><span style=\"font-family: inherit;\">s<\/span><\/span><span style=\"font-family: inherit;\"> Law Dictionary<\/span><\/span><span style=\"font-family: inherit;\"> (10th ed. 2014). Code<\/span><\/span><span style=\"font-family: inherit;\"> \u00a7 12.0071(c)(2)<\/span><\/a><span style=\"font-family: inherit;\">. The claimant must therefore satisfy a threshold evidentiary showing on the merits of its real-property claim to continue to encumber the property during the pendency of the underlying suit.
